1) In general, all Directors are appointed in General Meeting (AGM or EGM).

2) Ordinary Resolution is required to pass in the General Meeting for the appointment of a person as a Director of the Company.

3) Board of Directors is also authorised to appoint a person as a Director on the Board of the Company. A person so appointed is said to be Additional Director.

4) Additional Director holds office only up to the date of upcoming Annual General Meeting.

Question- A person appointed as Additional Director can resign before the date of AGM?

Ans: Yes

Question- What if Company does not hold the AGM?

Ans: Office of the AD will vacate automatically on the date on which AGM was ought to be held.
